​The below entity (“Applicant”) is a National Rural Electric Cooperative Association (“NRECA”) nonvoting platinum associate member in good standing.* Applicant applies to participate in NRECA Broadband (“Broadband”) and agrees to this NRECA Broadband Association Member Application and Agreement (“Agreement”). Under this Agreement: (1) by a date determined by NRECA, Applicant shall annually pay NRECA a fee to participate in Broadband (“Broadband Fee”) and (2) NRECA shall provide information, goods, and services related to engaging in the broadband business as determined by NRECA from time to time in its sole discretion (“Broadband Services”). Upon NRECA receiving the Broadband Fee, Applicant becomes a participant in Broadband (“Participant”). 

Broadband Fee. The Broadband Fee is calculated annually. NRECA shall calculate, charge, and collect the Broadband Fee in a reasonable manner. 

Agreement Renewal. This Agreement renews annually, unless Participant or NRECA provides written or electronic notice of nonrenewal at least thirty (30) days before the scheduled renewal.

Agreement Termination. Participant or NRECA may terminate this Agreement for any reason upon thirty (30) days advance written or electronic notice of termination. Upon termination by Participant, it is not entitled to a Broadband Fee refund. Upon termination by NRECA, Participant is entitled to a prorated Broadband Fee refund. If the Broadband Fee is not paid within ninety (90) days after a renewal, then this Agreement terminates. 

Broadband Services. NRECA owns the Broadband Services, including any intellectual property associated with the Broadband Services.  For any Broadband Service provided while this Agreement is effective, NRECA authorizes, and grants a nonexclusive and limited license to, Participant to appropriately use the Broadband Service, and any intellectual property associated with the Broadband Service, when engaging in the broadband business. Participant shall not disclose, use, assign, sublicense, or provide the Broadband Services, unless related to its broadband business. Participant shall not sell or resell the Broadband Services.  Participant shall not use Broadband Services in any way that is detrimental to NRECA, its membership or other third-parties in NRECA’s sole discretion.

* To remain a Participant, Applicant must remain a NRECA platinum associate member.
